END-USER LICENSE AGREEMENT (EULA)

This End User License Agreement ("Agreement") is a legal contract between GreenTek Solutions, LLC ("GTS" and its affiliates, "we," "us," or "our") and the end user ("you" or "user") governing the use of GTS' proprietary software, applications, tools, and any related services (collectively, the "Software"). By installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install, access, or use the Software.

1. LICENSE GRANT GTS grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software solely for your internal business operations, subject to the terms of this Agreement.

2. LICENSE RESTRICTIONS You may not:

  • Copy, modify, distribute, sell, lease, sublicense, or create derivative works based on the Software;
  • Reverse-engineer, decompile, or disassemble the Software except as permitted by applicable law;
  • Use the Software in any manner that violates any applicable laws or regulations;
  • Remove or alter any copyright, trademark, or proprietary notices from the Software;
  • Use the Software for any unlawful or fraudulent activities.

3. OWNERSHIP AND INTELLECTUAL PROPERTY The Software is owned and operated by GTS and is protected by intellectual property laws. This Agreement does not transfer any ownership rights to you.

4. DATA PRIVACY AND SECURITY GTS may collect and process data related to your use of the Software. Our data handling practices are governed by our Privacy Policy, which is incorporated by reference into this Agreement. You agree that GTS may collect, store, and process data in accordance with applicable laws and regulations.

5. UPDATES AND SUPPORT GTS may release updates, patches, or new versions of the Software. You agree that these updates may be applied automatically. GTS may, at its discretion, provide support services for the Software.

6. TERMINATION This Agreement is effective until terminated. GTS may terminate this Agreement immediately if you violate any of its terms. Upon termination, you must cease all use of the Software and destroy any copies in your possession.

7. DISCLAIMER OF WARRANTIES THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. GTS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, GTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE SOFTWARE.

9. INDEMNIFICATION You agree to indemnify and hold harmless GTS, officers, directors, and employees from any claims, damages, liabilities, or expenses arising from your use of the Software in violation of this Agreement.

10. GOVERNING LAW This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.

11. DISPUTE RESOLUTION Any disputes arising out of this Agreement shall be resolved through binding arbitration in Houston, Texas, in accordance with the rules of the American Arbitration Association.

12. GENERAL PROVISIONS

  • Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.
  • Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings or agreements.
  • No Waiver: The failure of GTS and its affiliates to enforce any provision shall not constitute a waiver of that provision.
